This is a good walkthrough of Civil 3D Sample Line mechanics that includes some of the the more advanced options and edit capabilities that can get lost in the shuffle.
Here's a tip. You may find it handy to keep really different Sample Lines in separate Sample Line Groups since you also often have to publish them separately anyway.

It always strikes me how important being setup to do a conversion like this beforehand is. More the half the issue is understanding what Civil 3D, Map 3D, and ArcGIS want to eat.
You also might have to deal with a coordinte system conversion of the SHP data too. A canned template (.dwt) file can handle that publishing detail easily enough.
